The Global Substance Standard in the BVI

Under the BVI Economic Substance (Companies and Limited Partnerships) Act, all BVI entities must determine annually whether they carry on any 'relevant activities' and maintain appropriate local substance.

Relevant Activities Defined

The legislation classifies nine specific business categories:

  • Banking, Insurance, and Fund Management
  • Finance and Leasing, and Shipping
  • Intellectual Property and Headquarters Business
  • Distribution and Service Centre Business
  • Pure Equity Holding Business: Entitles entities to a reduced substance threshold, requiring only adequate human resources and premises for holding and managing equitable interests.

Annual Filing Obligations

Every BVI entity must submit an annual economic substance report through its registered agent via the Beneficial Ownership Secure Search system (BOSS) within six months of its financial year-end.
